Terms of Service.
The rules for using Unify AI, including accounts, usage, billing, providers, and customer data.

These Terms of Service ("Terms"), together with our Privacy Policy, govern your use of the services delivered by Unify AI Ltd. ("Unify", "we", "us", or "our"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions
Service means Unify's hosted software platform for configuring, deploying, managing, and interacting with virtual AI assistants, including associated interfaces, APIs, integrations, and administrative tools.
Assistant or droid means a virtual, software-based teammate provisioned through the Service that processes inputs and generates outputs using third-party AI models and Unify's orchestration, workflows, prompts, and system logic.
User Data means data, content, prompts, files, tasks, instructions, integrations, or information submitted to or processed by the Service by or on behalf of you.
Outputs means content, text, data, actions, or other materials generated by an Assistant in response to User Data.
2. Service
The Service lets you configure, deploy, and interact with virtual AI assistants to perform tasks, generate outputs, and provide assistance through voice, video, text, and connected software channels. You are responsible for your use of the Service and for ensuring your User Data and instructions comply with applicable law.
3. Providers
We may rely on third-party providers, including model, infrastructure, payment, communication, and integration providers, to deliver the Service. You acknowledge that User Data may be processed by those providers as necessary to provide the Service.
Third-party providers have their own terms and policies. We are not responsible for third-party services except as expressly stated in a written agreement with you.
4. Account
- You must provide accurate, complete, and lawful account information.
- You are responsible for credentials and activity under your account.
- You must notify us if account credentials are compromised.
- You may only authorize access for people you trust.
5. Billing
Fees may be based on subscription, credits, Assistant activity, or usage units displayed in your account or order form. Credits have no cash value and may expire as described in your account or contract.
You authorize us and our payment processors to charge your selected payment method for applicable fees, taxes, usage charges, and auto-replenishment. We may suspend or terminate access for overdue amounts, failed charges, fraud, or abuse. Outstanding balances remain due.
6. Intellectual property
We retain all rights in the Service, software, workflows, prompts, system logic, designs, and documentation. You retain rights in User Data and, as between you and Unify, Outputs generated from your User Data, subject to these Terms and applicable law.
Feedback, suggestions, or ideas you provide may be used by us without restriction or obligation.
7. Prohibited uses
You may not use the Service to:
- Violate law, regulation, third-party rights, or these Terms.
- Exploit, harm, or attempt to harm minors.
- Transmit malware, spam, fraudulent, or abusive content.
- Impersonate any person or entity or misrepresent affiliation.
- Interfere with, overload, scan, scrape, or attack the Service.
- Bypass rate limits, security controls, billing systems, or access controls.
8. Disclaimers
Assistants and AI systems may produce inaccurate, incomplete, offensive, or misleading outputs. Outputs should not be relied on for legal, financial, medical, safety-critical, or regulatory decisions without independent review.
The Service is provided "as is" and "as available" to the maximum extent permitted by law, without warranties of any kind.
9. Data
We process personal data as described in our Privacy Policy and, where applicable, our Data Processing Agreement. You are responsible for ensuring you have the necessary rights, notices, and permissions for User Data submitted to the Service.
10. Termination and suspension
We may suspend or terminate access for violations of these Terms, suspected abuse, security risk, non-payment, or legal requirement. You may stop using the Service at any time, but outstanding amounts remain due.
11. Limitation of liability
To the maximum extent permitted by law, Unify is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities.
12. Governing law
These Terms are governed by the laws stated in your order form or written agreement with Unify. If no written agreement states otherwise, these Terms are governed by the laws of Delaware, without regard to conflicts of law principles.
13. Changes
We may update these Terms from time to time. Updated Terms will be posted on this page. Continued use of the Service after updates become effective means you accept the updated Terms.
