These Terms of Service ("Terms", "Terms of Service"), along with our Privacy Policy ("Privacy", "Privacy Policy") govern ("User", "you", "your") use of the Services delivered by Unify AI, Ltd. ("Unify", "Company", "we", "our", "us"), along with any associated software, products and services that we offer (all together "Services").

If you do not agree with (or cannot comply with) Terms and Privacy (all together "Agreements"), then you may not use the Service. These Agreements apply to all visitors, users and others who wish to access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization.

1. Definitions
"Service" means Company's hosted software platform that enables users to configure, deploy, manage, and interact with one or more virtual AI assistants, including associated interfaces, APIs, and administrative tools.

"Assistant" means a virtual, software-based assistant provisioned through the Service that processes inputs and generates outputs using third-party AI models and Company's proprietary orchestration, workflows, prompts, and system logic.

"Assistant Activity" means any use of an AI Assistant that consumes computational or processing resources, including but not limited to generating outputs, responding to prompts, executing tasks, interacting by text, voice, or other channels, storing or retrieving knowledge, or performing actions.

"Provider" means any third-party company, individual or otherwise entity exposing a language model for usage through an endpoint, or providing any service to store data, manage payments, or any other service required for the Service to function.

"User Data" means any data, content, prompts, files, or information submitted to or processed by the Service by or on behalf of User.

"Outputs" means all content, text, data, or other materials generated by an AI Assistant in response to User inputs or tasks.

"Credits" means prepaid usage units that may be applied toward Assistant Activity, where applicable.
2. Service
The Service lets you configure, deploy, and interact with virtual AI assistants ("Assistants") to perform tasks, generate outputs, and provide assistance through text, voice, or other channels. Assistants process your inputs using third-party AI models and our proprietary system.
3. Providers
Usage. We may rely on third party Providers to deliver part of our Service. You recognize that we may transfer the User Data you submit as part of your interaction with Service to these Providers.

Responsibility. Unify has no control over, and assumes no responsibility for the terms of service, privacy policies, services or practices of Providers. We do not warrant the offerings of any of these entities/individuals or their services.

YOU ACKNOWLEDGE AND AGREE THAT UNIFY SHALL NOT BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY DAMAGE OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH USE OF OR RELIANCE ON ANY SUCH PROVIDERS.

WE STRONGLY ADVISE YOU TO READ THE TERMS OF SERVICE AND PRIVACY POLICIES OF ANY PROVIDER THAT YOU USE THROUGH OUR SERVICES.
4. Account
• You agree to provide accurate, complete, and lawful information when creating and maintaining your account.

• You are responsible for keeping your account credentials secure and for all activity under your account.

• You must notify us immediately if your credentials are compromised.

• You may only authorize access to individuals you trust; you remain responsible for their activity.
5. Billing
5.1 Fees

• Fees are based on Assistant Activity: processing, interactions, task execution, storage, retrieval, and automated actions.

• Fees may be calculated per usage unit, credits, or subscription, as displayed in your account.

5.2 Credits

• You may purchase credits to prepay for Assistant Activity.

• Credits are consumed automatically with Assistant Activity.

• Credits have no cash value and may expire as described in your account.

5.3 Payment Method

• You represent and warrant that: (i) you have the legal right to use any payment method you submit; and that (ii) the payment method information you supply to us is true, correct and complete.

• You authorize us to charge your selected payment method for credits, usage charges, taxes, or auto-replenishment.

5.4 Auto-Recharge

• If you activate automatic billing, we will charge your selected payment method for any fee on the applicable payment date, including any applicable taxes.

• Failure to maintain a valid payment method may result in suspension or termination of your account.

5.5 Non-Payment

• We may suspend or terminate your access for overdue payments or failed charges.

• Any outstanding balances remain payable.

5.6 Cancellation

We reserve the right to refuse or cancel any payment for reasons including but not limited to: (i) availability of the Service (ii) errors in your payment (iii) suspected fraud or any unauthorized or illegal transaction
6. Intellectual Property
• We retain all rights, title, and interest in the Service, Assistants' system architecture, workflows, prompts, and software.

• You retain all rights to the data you provide and outputs generated by Assistants.

• Any suggestions, ideas, or feedback you provide to us may be used by us without obligation. You retain no rights in such feedback.
7. Prohibited Uses
You may use Service only for lawful purposes and in accordance with Terms. You agree not to use Service:

• In any way that violates any applicable national or international law or regulation.

• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.

• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.

• To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.

• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.

Additionally, you agree not to:

• Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party's use of Service, including their ability to engage in real time activities through Service.

• Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.

• Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent.

• Use any device, software, or routine that interferes with the proper working of Service.

• Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.

• Attack Service via a denial-of-service attack or a distributed denial-of-service attack.

• Otherwise attempt to interfere with the proper working of Service.

We may suspend or terminate accounts for abuse or repeated violations.
8. Disclaimer
• Assistants may produce inaccurate, incomplete, or misleading outputs.

• Outputs should not be relied upon for professional, legal, medical, financial, or regulatory decisions.

• The Service is provided "as-is" and "as available", without warranties of any kind.
9. Data
• We may use third party services for the purpose of facilitating payment or providing the Service. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

• We may collect anonymized and aggregated usage data to improve the Service.

• Personal data is processed in accordance with applicable data protection laws.

• You are responsible for ensuring that any personal data you submit complies with applicable laws.
10. Termination & Suspension
• We may suspend or terminate your account at any time for ToS violations, abuse, non-payment, or if the Service is no longer available.

• You may stop using the Service at any time, but any outstanding fees remain due.

• Upon termination, credits may be forfeited.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for loss of data, profits, or business opportunities.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of Delaware without regard to its conflict of law provisions.
13. Changes to the Service
We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users.
14. Changes to the Terms
We may amend Terms at any time by posting the amended terms on this site. It is your responsibility to review these Terms periodically.

Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
15. Waiver and Severability
No waiver by Company of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert a right or provision under Terms shall not constitute a waiver of such right or provision.

If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
16. Acknowledgment
BY USING SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
